Businesses can be organized in a myriad of forms. They can be “general” partnerships, which can be formed verbally or even just by the parties’ conduct. Businesses can also be formed as limited partnerships, limited liability companies, or corporations, all of which must be registered with the Secretary of State of some state. Even these types of entities are sometimes operated with minimal documentation and operating rules. Enforcing the rights of parties who have put little in writing can be challenging.
Unfortunately, business ventures sometimes do not work out the way the parties hoped they would. This can be due to unexpected business conditions, poor planning, incompetence, or outright dishonesty by one of the parties involved.
